General Terms and Conditions

Article 1 – Definitions

In these Terms and Conditions, the following definitions apply:

  • Cooling-off period: The period during which the consumer may exercise their right of withdrawal.

  • Consumer: A natural person not acting in the course of a business or profession who enters into a distance contract with the entrepreneur.

  • Day: Calendar day.

  • Ongoing transaction: A distance contract involving a series of products and/or services delivered or purchased over time.

  • Durable medium: Any tool – including email – that enables the consumer or entrepreneur to store information for future reference in an unchanged format.

  • Right of withdrawal: The consumer’s right to cancel the distance contract within the cooling-off period.

  • Entrepreneur: The legal entity (Vale Miami) offering products or services to consumers at a distance.

  • Distance contract: A contract made as part of an organized distance sales system, exclusively using distance communication.

  • Distance communication technique: A method of communication that allows contract conclusion without the consumer and entrepreneur being physically present at the same time.

  • General Terms and Conditions: The present terms and conditions of Vale Miami.

Article 3 – Applicability

These terms apply to every offer and contract made between Vale Miami and a consumer. Before concluding a distance contract, the terms will be made available to the consumer electronically or in a durable format. If additional product- or service-specific terms apply, the most favorable condition for the consumer prevails in the event of conflicting terms.

Should any provision of these terms be found invalid or void, the rest shall remain in force. Unforeseen situations or ambiguities will be interpreted in line with the spirit of these terms.


Article 4 – The Offer

If an offer has a limited validity or special conditions, this will be clearly stated. Offers are non-binding and subject to change. All descriptions are complete and accurate to allow proper consumer evaluation. Obvious errors (e.g. pricing mistakes) do not bind Vale Miami. Images are representative, though actual product colors may vary. Offers clearly outline:

  • Price (exclusive of taxes)

  • Shipping costs

  • Payment and delivery methods

  • Existence or exclusion of the right of withdrawal

  • Contract duration for ongoing transactions

  • Any applicable codes of conduct


Article 5 – The Contract

A contract is concluded when the consumer accepts the offer and meets the stated conditions. If accepted electronically, Vale Miami will promptly confirm receipt. Until confirmation is sent, the consumer may cancel the order.

Vale Miami takes appropriate steps to ensure secure online transactions. In some cases, credit checks may be conducted before completing the order. If concerns arise, Vale Miami may decline or impose conditions on the order.

The following will be shared with the consumer upon delivery:

  • Contact details for complaints

  • Information about the right of withdrawal

  • Warranty and after-sales service details

  • Contract duration, if applicable


Article 6 – Right of Withdrawal

Consumers have 14 days after delivery to withdraw from the contract without stating a reason. During this period, the product must be handled with care and returned in original condition and packaging if possible.

To initiate a return:

  • Notify Vale Miami via email within 14 days of receiving the product

  • Return the item within 14 days of notification

  • Provide proof of timely return (e.g. tracking number)

Failure to meet the deadlines will void the right of withdrawal.


Article 7 – Costs in Case of Withdrawal

The consumer is responsible for return shipping costs. If the order was paid for, the amount will be refunded within 14 days of withdrawal, provided Vale Miami has received the return or proof of shipment.


Article 8 – Exclusions to the Right of Withdrawal

The right of withdrawal does not apply to:

  • Custom-made or personalized items

  • Perishable goods

  • Sealed goods not suitable for return for hygiene reasons once opened

It may also not apply to services already started with consumer’s consent before the cooling-off period ends.


Article 9 – The Price

Prices are valid during the period stated in the offer and include applicable U.S. sales taxes unless otherwise stated. Prices may fluctuate in certain markets, and such variability will be clearly communicated.

Vale Miami reserves the right to adjust prices due to tax or regulatory changes. Consumers will be informed in advance and have the right to cancel the contract in case of increases after three months.


Article 10 – Compliance and Warranty

Vale Miami guarantees that its products and services conform to the contract, match the descriptions provided, and meet applicable legal and safety standards at the time of delivery.

Any additional warranties from manufacturers do not affect your statutory rights.


Article 11 – Delivery and Execution

Orders will be processed and shipped promptly, no later than 30 days unless otherwise agreed. Delivery is made to the address provided by the consumer. If delays occur or a product is unavailable, the consumer will be notified and may cancel the order.

Vale Miami bears the risk of damage or loss until the product is delivered.


Article 12 – Payment

Unless otherwise agreed, payment must be made at checkout. Consumers must report payment errors promptly. If payment is delayed, Vale Miami may charge interest and collection fees after providing a 14-day grace period.


Article 13 – Complaints Procedure

Complaints must be submitted via email within a reasonable time after discovering an issue. Vale Miami will respond within 14 days. If the complaint requires more time, the consumer will receive a confirmation and estimated resolution date.

If a complaint cannot be resolved mutually, the issue may be escalated according to U.S. dispute resolution laws.


Article 14 – Disputes

These terms and all contracts between Vale Miami and consumers are governed by the laws of the State of Nevada, United States. All disputes will be handled by the appropriate courts of Nevada, and international treaties like the Vienna Sales Convention do not apply.
